These terms govern your use of SAFR+ services and outline the rights and responsibilities of both parties.
By accessing or using SAFR+ services, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access our services.
These Terms apply to all visitors, users, and others who access or use our services. Your continued use of our services following the posting of any changes to these Terms constitutes acceptance of those changes.
Services
Software development, AI automation, web design, and system integration services provided by SAFR+
Client
Any individual or entity that engages SAFR+ for services
Project
A specific scope of work agreed upon between SAFR+ and the client
Deliverables
All work products, code, documentation, and materials provided to the client
Service Scope
Services are provided according to the agreed project scope and specifications
Timeline
Project timelines are estimates and may be adjusted based on complexity and requirements
Quality Standards
We commit to delivering high-quality, tested, and documented solutions
Communication
Regular updates and clear communication throughout the project lifecycle
- Provide clear project requirements and specifications
- Respond to requests for information in a timely manner
- Provide necessary access to systems and data as required
- Review and provide feedback on deliverables within agreed timeframes
- Make payments according to the agreed payment schedule
Client IP
Client retains ownership of their existing intellectual property and data
SAFR+ IP
We retain rights to our proprietary tools, frameworks, and methodologies
Project Deliverables
Client receives full rights to project deliverables upon final payment
Third-Party IP
Third-party licenses and open-source components are subject to their respective terms
Payment is due according to the following schedule:
Project Initiation
Due upon project commencement and contract signing
Development Milestone
Due upon completion of major development phases
Project Completion
Due upon final delivery and project acceptance
Late Payments
Late payments may result in project delays and additional fees. We reserve the right to suspend services for accounts with outstanding balances.
SAFR+ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or use, arising out of or relating to our services.
Our total liability for any claims arising out of or relating to these Terms or our services shall not exceed the amount paid by you for the specific service giving rise to the claim.
Either party may terminate this agreement with written notice under the following circumstances:
Material Breach
Failure to fulfill obligations after reasonable notice
Convenience
Either party may terminate with 30 days written notice
In the event of any dispute arising out of or relating to these Terms, both parties agree to:
- First attempt to resolve the dispute through good faith negotiations
- If negotiations fail, engage in mediation with a neutral third party
- As a last resort, pursue legal action in the appropriate jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where SAFR+ is incorporated, without regard to its conflict of law provisions.
